End User License Agreement

This End User License Agreement (“EULA”) is a legal agreement between you (“you” or “Licensee”) and Cauldrn LLC (“we,” “us,” or “Licensor”) for the Parsedit software and related services (“Software” or “Service”), available at parsedit.com. By accessing or using the Service, you agree to this EULA. If you do not agree, do not use the Service.

This EULA supplements and is incorporated into our Terms of Service. In the event of a conflict between this EULA and the Terms of Service regarding the Software license, this EULA controls with respect to the license grant.

1. Definitions

• “Software” means the Parsedit web application, APIs, documentation, and any updates, patches, or improvements we make available to you.
• “Your Content” means documents, data, parser configurations, and other materials you upload, submit, or generate through the Service.
• “Subscription Term” means the period during which you have an active account and, if applicable, a paid subscription.

2. License grant

Subject to your compliance with this EULA, the Terms of Service, and payment of applicable fees, Cauldrn LLC grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Software during your Subscription Term solely for your internal business purposes.

This license permits you to:

• Access the Software through supported web browsers and interfaces.
• Upload documents and configure parsers for data extraction.
• Review, edit, and export extracted data to destinations you authorize.
• Invite team members to your account on eligible plans, within seat limits.

This license does not permit you to:

• Copy, modify, or create derivative works of the Software (except as necessary for normal use through the provided interface).
• Distribute, sell, lease, sublicense, or make the Software available to third parties except as expressly allowed by your plan.
• Remove or alter proprietary notices, labels, or branding.
• Use the Software to build a competing product or service.
• Access the Software through automated means (bots, scrapers) except via documented APIs we expressly provide.

3. Ownership and intellectual property

The Software, including all code, design, trademarks, logos, documentation, and underlying technology, is owned by Cauldrn LLC and its licensors and is protected by copyright, trademark, and other intellectual property laws.

You retain ownership of Your Content. You grant Cauldrn LLC a worldwide, non-exclusive license to host, store, process, transmit, display, and otherwise use Your Content solely to provide, maintain, secure, and improve the Service, as described in our Privacy Policy.

Feedback, suggestions, or ideas you provide about the Service may be used by us without obligation or compensation to you.

4. Third-party and open-source components

The Software incorporates third-party services and may include open-source software components. Such components are subject to their respective licenses and terms. Third-party services (including Supabase, Stripe, Vercel, Cloudflare, Extend, Postmark, and others listed in our Privacy Policy) are not part of the licensed Software and are provided under their own terms.

Your use of optional integrations (Google Drive, Google Sheets, Airtable, QuickBooks, Xero, Slack, webhooks, and similar) is subject to the third party’s terms and privacy policies. We do not control and are not responsible for third-party services.

5. Your responsibilities

You are responsible for:

• Maintaining the confidentiality of your account credentials.
• All activity under your account, including team members you authorize.
• Ensuring you have the legal right to upload and process Your Content.
• Complying with applicable laws, including data protection and export regulations.
• Verifying the accuracy of extracted data before using it in business, financial, or legal decisions.
• Configuring integrations appropriately and revoking access when no longer needed.

You will not use the Software to process content that is illegal, infringing, malicious, or that you do not have permission to use.

6. Acceptable use

You agree not to:

• Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Software, except to the extent expressly permitted by applicable law.
• Circumvent usage limits, security measures, or access controls.
• Introduce viruses, malware, or harmful code.
• Interfere with or disrupt the Software or servers.
• Use the Software in a manner that violates the rights of others or applicable law.
• Resell, white-label, or provide the Software as a service to third parties without our written consent.

We may suspend or terminate your license for violations of this section.

7. Artificial intelligence and data use

We do not use Your Content to train artificial intelligence or machine learning models. Document processing is performed by third-party extraction services solely to return structured fields for your review and export, as described in our Privacy Policy.

8. Updates and modifications

We may update the Software from time to time, including adding, modifying, or removing features. We are not obligated to provide any specific functionality or maintain backward compatibility. Updates may be automatic and are subject to this EULA unless accompanied by separate terms.

9. Warranty disclaimer

THE SOFTWARE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE FULLEST EXTENT PERMITTED BY LAW, CAULDRN LLC DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE SOFTWARE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR THAT EXTRACTION RESULTS WILL BE ACCURATE OR COMPLETE.

10. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, CAULDRN LLC’S TOTAL LIABILITY ARISING OUT OF OR RELATED TO THIS EULA OR THE SOFTWARE WILL NOT EXCEED THE FEES YOU PAID TO US IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

WE ARE NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF DATA, PROFITS, OR BUSINESS OPPORTUNITY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Some jurisdictions do not allow certain limitations. In those jurisdictions, our liability is limited to the maximum extent permitted by law.

11. Term and termination

This EULA is effective when you first access the Service and continues for your Subscription Term.

We may terminate or suspend your license immediately if you breach this EULA or the Terms of Service, fail to pay fees, or if required by law.

You may terminate by closing your account. Upon termination:

• Your license to use the Software ends immediately.
• You must cease all use of the Software.
• We may delete Your Content when you delete it, when your account is deleted, or as otherwise described in our Privacy Policy.
• Sections that by their nature should survive (including ownership, disclaimers, limitation of liability, and governing law) will survive.

12. Export compliance

You represent that you are not located in a country subject to U.S. government embargo and are not listed on any U.S. government restricted-party list. You agree to comply with all applicable export control and sanctions laws.

13. Governing law and venue

This EULA is governed by the laws of the State of California, United States, without regard to conflict-of-law principles. Any dispute arising out of or relating to this EULA will be resolved exclusively in the state or federal courts located in California, and you consent to personal jurisdiction and venue in those courts.

14. Changes to this EULA

We may update this EULA from time to time. We will post the updated EULA on this page and update the “Last updated” date. For material changes, we may notify you by email or through the app. Continued use of the Service after the effective date constitutes acceptance.
